Sarbanes-Oxley (SOX) Claims

In the wake of Enron and other corporate scandals, Congress enacted provisions prohibiting publicly-traded companies from retaliating against employees who complain about or disclose corporate fraud. Under SOX and the U.S. Department of Labor regulations, a successful plaintiff is entitled to “make whole” relief, including back pay with interest, reinstatement with seniority, other special damages, and attorneys’ fees and costs.

Other claims may also exist under state law when an employer terminates an employee for complaining about or refusing to participate in fraudulent or other wrongful corporate conduct. However, SOX provides corporate employees with a powerful weapon and fills in a gap left by many states’ laws.
